Service Description
Owwyl Intelligence Systems provides automated bookkeeping software built on its own double-entry general ledger, which becomes your books. Owwyl connects to your bank feed (via Stripe Financial Connections) and your email provider to record and categorize transactions, detect anomalies, and produce financial reports. Owwyl can import history from Xero or QuickBooks so it can replace them as your system of record. Owwyl is software — it is not a licensed accounting firm, certified public accountant, enrolled agent, tax preparer, financial advisor, or law firm, and it does not provide accounting, audit, attest, tax, legal, or investment advice.
No Professional Advice
Owwyl output — including categorizations, financial statements, sales-tax worksheets, tax-line maps, estimates, 1099 summaries, and any amendment or filing suggestion — is generated by software from the data available to it and is provided for informational purposes only. It is not tax, accounting, legal, or financial advice and is not a substitute for the judgment of a qualified professional. You are solely responsible for reviewing Owwyl output with your own accountant, CPA, or tax professional before relying on it, filing any return, remitting any tax, or making any financial decision.
Not Audited Financial Statements
Financial statements and reports Owwyl generates are unaudited and have not been reviewed or compiled in accordance with any professional standard. Owwyl expresses no assurance or opinion on them. They must not be presented to a lender, investor, tax authority, or other third party as audited, reviewed, or compiled statements.
Account Terms
You must provide accurate information when creating an account. One account per organization. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.
Data Handling
Owwyl connects to your bank feed, email provider, and (for migration) Xero or QuickBooks with the minimum permissions required for each integration. All OAuth tokens are encrypted at rest using AES-256. We do not store bank credentials. We do not retain data beyond what is necessary to operate the service. Our processing of personal data on your behalf is governed by our Data Processing Agreement.
Financial Data & Your Control
No journal entry, categorization, filing, or payment is posted to your ledger or submitted on your behalf without your review and action where review is offered. You retain full ownership of and control over your ledger and your data. You are responsible for the accuracy and completeness of the source data you connect and for confirming Owwyl output before you rely on it.
Email Access
Owwyl requests read-only email access via Nylas. The service searches for invoice and bill emails with PDF attachments. It does not read personal emails, contacts, calendar data, or drafts. Access is limited to the purpose of invoice and bill detection.
Acceptable Use
You may not use Owwyl to violate any law, to process data you have no right to process, to reverse-engineer or resell the service, or in any manner prohibited by our Acceptable Use Policy, which is incorporated into these terms by reference.
Billing
Plans are billed monthly or annually based on the option selected at signup. A 14-day free trial is included with every plan. No credit card is required during the trial period. You may cancel at any time. Cancellation takes effect at the end of the current billing period.
Warranty Disclaimer
The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Owwyl does not warrant that categorizations, anomaly flags, projections, or reports are accurate, complete, or error-free, or that the service will be uninterrupted.
Limitation of Liability
To the maximum extent permitted by law, Owwyl and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, tax penalties, interest, or goodwill, arising out of or related to your use of the service. Owwyl's total aggregate liability for any claim arising out of or related to the service will not exceed the amounts you paid to Owwyl for the service in the twelve months preceding the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law.
Indemnification
You agree to indemnify and hold Owwyl harmless from claims, losses, and expenses arising out of the data you connect, your use of Owwyl output, your filings and financial decisions, and your breach of these terms.
Termination
Either party may terminate the account at any time. Upon termination, we delete your data within 30 days. You may export your data at any time before cancellation using the export tools in your account settings.
Governing Law & Dispute Resolution
These terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Kalamazoo County, Michigan, and you consent to their jurisdiction. Before filing any claim, the parties agree to attempt in good faith to resolve the dispute informally for 30 days after written notice.
Changes
We may update these terms. Material changes will be communicated via email 30 days in advance of taking effect. Continued use of the service after the effective date constitutes acceptance of the revised terms.
